Terms and Conditions

1. Definitions

 

In these Terms and Conditions, the following terms have the meanings set out below:

  • Promoter: AP Wireless Investments Australia Pty Ltd ABN: 83 159 134 353, of Level 32/367 Collins St, Melbourne, VIC 3000  (“AP Wireless”).
  • Competition: The AP Wireless Champion Stakes Day Prize Draw conducted in accordance with these Terms and Conditions.
  • Prize: 2 x Victoria Racing Club TAB Clubhouse Champions Day tickets for the race day on 7 November 2026 at Flemington Racecourse, Melbourne, Victoria (face value AUD $445.00 per ticket); 2 x consecutive nights’ accommodation in Melbourne, Victoria, at a hotel selected and booked by the Promoter, with an approximate value of AUD $700.00 in total; Plus one AUD $1,200.00 (total) VISA Gift Card. Total maximum prize value: AUD $2,790.00. Please note, the VISA Gift Card is intended to be used to assist with organising travel and/or flights to the event. However, the winner is solely responsible for booking their own travel and/or flights to the event.
  • Entry Period: From 10 August 2026 at 12 am AEST to 8 September 2026 at 11:59pm AEST (“Closing Date”).
  • Draw Date: 11 September 2026 at 6:00am AEST.
  • Eligible Entrant: A natural person who: (a) is a resident of Australia; (b) is aged 18 years or over at the date of entry; (c) is a current or former landowner or leaseholder of land on which telecommunications infrastructure is or has been located; and (d) has submitted a valid entry in accordance with clause 4.
  • Online Entry: An entry submitted via the AP Wireless landowner portal at https://apwireless.link/VRC-giveaway by uploading a Lease Document or lease information in accordance with clause 4.2.
  • Lease Document: A complete and fully executed lease, licence, wayleave, easement, or other agreement under which a telecommunications operator occupies land owned or controlled by the entrant in Australia, including all signature pages and any schedules necessary to evidence a legally binding agreement, and which is not already owned by the Promoter or a subsidiary thereof.
  • Privacy Act: The Privacy Act 1988 (Cth) and the Australian Privacy Principles contained therein.

2. Promoter

 

The Competition is promoted by the Promoter.

Commercial purpose: AP Wireless acquires wireless telecommunications site leases from landowners across Australia. The purpose of this Competition is to connect AP Wireless with landowners who have a telecommunications mast, antenna, or related infrastructure on their land, and who may be interested in discussing the value of their lease and the options available to them. By entering via the Online Entry route and uploading their Lease Document, entrants acknowledge that AP Wireless will contact them to discuss their lease. This contact is a core purpose of the Competition and a condition of Online Entry.

3. Eligibility

 

  1. The Competition is open to Eligible Entrants only
  2. The following persons are not eligible to enter:
    • employees, officers, contractors, and agents of the Promoter and its related bodies corporate;
    • immediate family members of any person referred to in clause 3.2(a) (being a spouse, de facto partner, parent, child, or sibling); and
    • any person who is a director, employee, officer, or agent of any telecommunications network operator operating in Australia (including but not limited to Telstra Corporation Limited, Optus Networks Pty Limited, TPG Telecom Limited, and Vodafone Australia Pty Limited).
  1. The Promoter reserves the right to verify the eligibility of any entrant prior to or following the award of the Prize and to disqualify any entrant who does not satisfy the eligibility criteria.

4. How to Enter

 

4.1 General
  1. Entry to this Competition is by Online Entry only, as described in clause 4.2. No purchase is required to enter. Entry is free of charge.
  2. Only one submission per person is permitted. Multiple submissions from the same person will be disqualified.
  3. Entries must be received by the Promoter before the Closing Date. Late entries will not be accepted.
  4. Entrants who do not wish to upload their Lease Document may instead manually enter their lease information via the portal, as described in clause 4.2.1.
4.2 Online Entry — Lease Upload
  1. To enter by Online Entry, an Eligible Entrant must, during the Entry Period:
    • visit the AP Wireless landowner portal at https://apwireless.link/VRC-giveaway
    • complete the entry form with their full name, phone number, email address, telecom site address, and mailing address;
    • upload a Lease Document in PDF, DOC, or DOCX format (maximum file size 50GB); or
    • alternatively, if unable to upload a Lease Document, manually enter the relevant lease information using the portal at https://apwireless.link/VRC-giveaway.
    • submit the completed entry form.
  1. A submission will only constitute a valid entry where the entrant submits either, a complete Lease Document or, completes the entry form via the portal as described in clause 4.2.1, and the information submitted contains sufficient information to enable the Promoter to assess the telecommunications site and the associated lease rights. The Promoter may reject any incomplete, illegible, draft or unsigned document and deem the associated entry invalid.
  2. Uploading a Lease Document does not create any obligation on the entrant or on AP Wireless, does not constitute an offer to sell or transfer any interest in any lease, and does not affect or vary any existing lease agreement.
  3. Before uploading a Lease Document, entrants should review their lease to check whether it contains a confidentiality clause restricting disclosure to third parties. Entrants who are subject to such a restriction should not upload their Lease Document and should contact the Promoter at [email protected] before entering.
  4. Entrants should obtain independent advice if they are uncertain whether their lease permits disclosure.
  5. The Promoter accepts no liability for any breach of confidentiality arising from an entrant’s decision to upload a Lease Document.
  6. By submitting an Online Entry and uploading a Lease Document, the entrant expressly acknowledges and agrees that: (i) AP Wireless will store, assess, and use the Lease Document; (ii) AP Wireless may contact the entrant by email or telephone to discuss the entrant’s wireless site lease, including its current value, any options to sell or assign the lease, and any other matters relevant to the entrant’s position as a landowner with telecommunications infrastructure; and (iii) this contact is a condition of Online Entry and will occur regardless of whether the entrant wins the Prize. The following additional optional consent is available on the Online Entry form and does not affect the entrant’s entry or chances of winning:
    • consent to receive updates from AP Wireless about wireless site lease market values, operator activity, industry developments, and opportunities relevant to landowners with telecommunications infrastructure on their property. Entrants may unsubscribe at any time by clicking the unsubscribe link in any marketing email.

5. The Draw

 

  1. The winner will be selected by random draw from all valid Online Entries received during the Entry Period.
  2. The draw will be conducted by Sarah Siegel, Marketing Coordinator at 4250 Executive Square, Suite 900, La Jolla, CA 92037 on the Draw Date at 10 September at 1:00pm PDT (6:00am AEST on 11 September 2026) in the presence of Kismet Richardson, Marketing Director.
  3. The draw will be conducted using a recognised computerised random number generator.
  4. The Promoter will make one draw. If a winner declines the prize, is unable to attend the event, cannot be contacted, is ineligible, or fails to claim the prize within 5 business days, the Promoter may conduct one or more further redraws until the prize is awarded to an eligible entrant who accepts the prize.
  5. The Promoter’s decision as to the winner is final and no correspondence will be entered into.

The draw result will be published at https://apwireless.link/VRC-giveaway within 5 business days of the Draw Date.

6. The Prize

 

  1. There is one Prize available. The Prize consists of:
    • 2 x Victoria Racing Club TAB Clubhouse Champions Day tickets for the race day on 7 November 2026 at Flemington Racecourse, Melbourne, Victoria (face value AUD $445.00 per ticket).
    • 2 x consecutive nights’ accommodation in Melbourne, Victoria, at a hotel selected and booked by the Promoter, with an approximate value of AUD $700.00 in total.
    • One AUD $1,200.00 (total) VISA Gift Card.
    • Total maximum prize value: AUD $2,790.00.
  2. The Prize is subject to availability and the Promoter reserves the right to substitute the Prize for a prize of equal or greater value if the stated Prize becomes unavailable for any reason beyond the Promoter’s reasonable control, including but not limited to event cancellation, postponement, or rescheduling.
  3. The Prize cannot be transferred, exchanged, or redeemed for cash.
  4. The Prize must be accepted as offered. The Promoter will arrange and pre-book the winner’s two (2) nights’ accommodation in a standard double/queen room at The Vibe Hotel in Melbourne, Victoria, checking in on Friday 6 November 2026 and checking out on Sunday 8 November 2026 (coinciding with the Champions Day race on Saturday 7 November).
  5. The winner will receive an AUD $1,200.00 VISA Gift Card delivered physically via registered mail or as a digital card via email. The VISA Gift Card is issued by a third party and is subject to the issuer’s terms and conditions, including any expiry date. The VISA Gift Card is intended to assist with the costs of travel associated with attending Champions Day at Flemington Racecourse. The winner is solely responsible for arranging and booking all travel required to attend the event. Any costs incurred in excess of the value of the VISA Gift Card are the sole responsibility of the winner.
  6. The winner may use the VISA Gift Card at their sole discretion and the Promoter makes no representation that the value of the VISA Gift Card will be sufficient to cover all or part of the winner’s travel expenses.
  7. The winner is responsible for any costs associated with accepting and using the Prize that are not expressly included in the Prize description, including any applicable taxes.
  8. The Promoter accepts no liability for non-refundable flights, accommodation or other travel arrangements in the event that Champions Day is cancelled, postponed, or rescheduled, or if the winner or the winner’s guest is unable or unwilling to travel or attend the event for any reason.

7. Winner Notification and Acceptance

 

  1. The winner will be notified by email to the address provided at the time of entry within 3 business days of the Draw Date.
  2. Within 5 business days of notification, the winner must:
    • respond to accept the Prize; and
    • provide proof of eligibility by uploading a copy of their telecommunications lease (if not previously submitted as part of their entry) or other documentation reasonably requested by the Promoter demonstrating that they receive rental payments pursuant to a telecommunications lease.
    • If the winner fails to comply with these requirements within the 5 business day period, or is otherwise found to be ineligible, the Promoter may declare the Prize forfeited and draw and notify an alternative winner.
  3. The Promoter will make at least 3 reasonable attempts to contact the winner (by email and/or telephone). If the winner cannot be contacted after these attempts, the Prize will be forfeited and an alternative winner drawn.
  4. The winner may be required to provide proof of identity and eligibility before the Prize is awarded. Acceptable proof of identity includes a government issued photo ID.
  5. The winner’s first name and state of residence will be published at https://apwireless.link/VRC-giveaway within 5 business days of the Draw Date.

8. Privacy

 

  1. The Promoter collects personal information from entrants for the purpose of administering this Competition. For Online Entrants, the Promoter will also use personal information to contact the entrant to discuss their uploaded Lease Document and their wireless site lease, as described in clause 2.2, clause 4.2(d), and clause 12.2. This is a primary purpose of the Competition and applies to all Online Entrants regardless of whether they win the Prize. Where optional marketing consent is given under clause 4.2(d), the Promoter will also send marketing communications.
  2. Personal information will be handled in accordance with the Privacy Act and the Promoter’s Privacy Policy, available at https://www.apwireless.com.au
  3. Entrants who do not provide marketing consent under clause 4.2(d) will have their personal information used only for Competition administration and will not receive marketing communications.
  4. Entrants may request access to, or correction of, their personal information held by the Promoter by contacting [email protected]
  5. The Promoter will not disclose personal information to third parties except as required by law or as necessary to administer the Competition (including the delivery of the Prize).

9. Uploaded Lease Documents

 

  1. By uploading a Lease Document via the Online Entry route, the entrant acknowledges and agrees (as set out in clause 4.2(d)) that the Promoter may store and use the Lease Document to assess the relevant telecommunications site lease and may contact the entrant in connection with the potential acquisition of that lease.
  2. Entrants warrant that:
    • they are a party to, or have authority to disclose, the Lease Document they upload;
    • uploading the Lease Document does not breach any confidentiality obligation, contractual restriction, or legal prohibition; and
    • they have the right to grant APWireless access to the Lease Document for the purposes of this Competition.
  3. The Promoter accepts no liability for any loss or damage arising from an entrant’s breach of the warranties in clause 9.2.

10. General Conditions

 

  1. Entry into this Competition is deemed acceptance of these Terms and Conditions.
  2. The Promoter reserves the right to verify the validity of entries and to disqualify any entry that does not comply with these Terms and Conditions or that the Promoter has reasonable grounds to believe has been submitted fraudulently, by automated means, or in breach of any applicable law.
  3. If this Competition is not capable of running as planned for any reason, including infection by computer virus, bugs, tampering, unauthorised intervention, fraud, or technical failures, the Promoter reserves the right to cancel, modify, or suspend the Competition.
  4. The Promoter is not responsible for any problems or technical malfunction of any telephone network or lines, computer systems, servers, providers, hardware or software, or any combination thereof.
  5. To the extent permitted by law, the Promoter excludes all liability for any loss or damage arising from or in connection with this Competition.
  6. Nothing in these Terms and Conditions limits or excludes any guarantees, warranties, representations, or conditions implied or imposed by law, including the Australian Consumer Law, which by law may not be limited or excluded.

11. Governing Law

 

  1. These Terms and Conditions are governed by the laws of the State of Victoria, Australia. Each entrant submits to the non-exclusive jurisdiction of the courts of Victoria.
  2. This Competition is conducted in accordance with all applicable Commonwealth, State and Territory laws, regulations and regulatory requirements governing trade promotion lotteries and promotional competitions in Australia.

All Online Entrants will be contacted by AP Wireless at the email address (and, if provided, telephone number) given at the time of entry to discuss their uploaded Lease Document and their wireless site lease. This contact is a primary purpose of the Competition, arises as a condition of Online Entry, and will occur regardless of whether the entrant wins the Prize. It is entirely separate from and independent of any optional marketing consent given under clause 4.2(d).
